Board of Directors Meeting
June 4, 2009

Call to Order – Welcome: 7:00PM
Chairman:  Wallace Snuggs

Present: Wallace Snuggs, Gordon Knowles, John Fulton, Pete Blue, Bill Staiano, Gerald Yates, and Carol Grigg. Absent: None.

Mr. Snuggs welcomed everyone to the meeting and directed John Fulton to report on the road deposits.

Road Deposits for Building/Roads
Director:  John Fulton

John Fulton reported that the roads are in good shape and we have taken in and given back 7 road deposits listed below.

Mr. Snuggs said that the board is going to suspend the approval of the March, April, and May meeting minutes so that the directors have time to look over them and will approve them at the next meeting.

Security:
Director: Pete Blue

Mr. Blue announced that Woodrun has contracted a new security company called Security Forces, Inc. The board decided to do this because over the past years, it has been good and bad. Security Forces presented the board with a very impressive package that is at a reasonable price. Other companies were very high and didn’t offer as much. Mr. blue then introduced 2 representatives from Security Forces at the board meeting, Mr. Walters and Mr. Curran.

A member asked Security forces what they are going to bring to Woodrun, and Mr. Walters responded that what their company would like to do is figure out what Woodrun currently has, and then asses what technology they could bring in, for example, a computer system upgrade to keep track of members and visitors on a more accurate basis. He noted, that it is up to Woodrun on how far they will want Security Forces to go with changes to the current system.

Mr. Knowles asked Mr. Walters what they would do in an instance where there was a domestic disturbance call. Mr. Walters replied that they would evaluate the situation and call the appropriate authorities, whether it is the sheriff, 911, etc. Mr. Curran then added that Security Forces officers don’t have police authorities and don’t jump in and stop fights. They identify, observe, and report; they are a deterrent and have to be careful because there are liability issues that keep them from getting too involved with those types of situations. Mr. Curran emphasized that they are strictly a deterrent, and will contact the right people to handle all situations.

A member asked who would maintain the computer at the guardhouse. Mr. Walters responded that a site supervisor or an even better person would be the secretary at Woodrun because they are more aware of who owes money and owns what lots. This way if a Security Forces officer handles it, and they terminate employment, there is no retraining.

Mr. Blue let everyone know that the board will implement what they feel is necessary for Woodrun. This company is what Woodrun needs and they come highly recommended by other communities that use them. Mr. Blue is tired of seeing people without passes and the gate arms raised with a paper in the window saying “Be back in 20 minutes.” Mr. Blue added that there needs to be accountability. Mr. Walters added that the board is going to sit down with Security Forces and put together a policy and procedure book that will be programs that apply for Woodrun.

Mr. Walters announced that he is the District Manager for Security Forces, Inc. He will make rounds to Woodrun approximately twice a month. Security Forces checks on their guards at different times. Security Forces will be “stepping on toes.” Woodrun members will probably get upset, but they are trying to do the right thing and keep Woodrun safe. Mr. Curran said that they are going to put together a custom “bible” of policies and procedures that the guards will abide by. Woodrun’s current policies are very lax and it will not change over night, so it would be in Woodrun’s best interest if the membership was notified before hand that there is a new security company as of July 1, 2009, and to be aware that it will be very different from the previous security company.

A member asked Security Forces if they perform background checks on their employees. Mr. Curren responded that they perform random drug screening prior to and during employment and they also perform driving record checks on their employees.

Mr. Blue asked if Security Forces performs mental evaluations. Mr. Walters responded that we should all check out the website (www.sfi.appone.com) and look at the application process, because eit is lengthy, and it filters out what they don’t want. All potential employees are asked a set of 50 security related questions, and if they pass that they move on to psychological profile questions where there are 7 graded items.

Mr. Knowles asked if Security Forces has hired officers for Woodrun yet and Mr. Walters said that he has a crew of 6 preliminary officers hired.

Mr. Yates asked if the contract price that Security Forces quoted is based on 1 year or 5 years. Mr. Curran said that they quote based on 1 year, and they have to redo contracts every year because minimum wage goes up and that is the only increase they have. Their margin never changes. If a company is on a tight budget, they will try to work with them on the increases if they can’t afford it.

Mr. Walters mentioned that Woodrun currently has gate cards, and he disagrees with that because you can give gate cards to any person on the street because no one checks for stickers. He suggested that Woodrun think about getting gate readers that are above your car and read the sticker at the top of the windshield. There should be a change, regardless.

Mr. Blue said that the board will be going through the Security Forces manual and choose which policies and procedures they want to implement at Woodrun. The board needs the membership to give their input and use common sense about what we need and still be cost effective. Woodrun wants to get their money’s worth. Woodrun will definetly have a much tighter security.

Mr. Snuggs mentioned to Security Forces that Woodrun definetly needs 2 officers at all times for fourth of July weekend.

Mr. Walters and Mr. Curran from Security Forces, Inc. left the board meeting.

Treasurer/Secretary/Finance/Maintenance
Director: Gordon Knowles

Mr. Knowles reported that he would like to report the finances in a different way. He would like to switch the P & L to an accrual method because this is how you have to file your taxes at the end of the year. This is the way it should be done all the time.

Mr. Knowles then introduced the new secretary at Woodrun, Candice Norman.

Mr. Knowles reported that we have collected about 25% of our annual dues. The expenses look as though they are in line. At the end of the year, expenses will match the income.

Mr. Knowles will also introduce reporting on the balance sheet.

Mr. Knowles went over some goals he has for Admin/Office/Finances/Etc. (he added that this still needs to get approval of the board)

Maintenance/Beautifiction:
Director: Gerald Yates

Mr. Yates reported that Joe and Time are continuing with mowing and mulching. They planted flowers and built a flower box at the pool and clubhouse for beautification as well as planted flowers at the front gate. A member added that it all looks wonderful.

Pool/Social Report:
Director: Wallace Snuggs

Mr. Snuggs reported that the filter system has been reworked and the new drains have been put in. The pool has been very busy. Last Saturday there were 93 people in the pool at one time. Overall, Mr. Snuggs is very happy with the pool.

Mr. Snuggs mentioned to Mr. Yates that there needs to be trash pickup at the pool on Mondays, Wednesdays, and Fridays.

Mr. Snuggs said there was an issue with the commode bolts being broken. Mr. Yates said that Joe went to Lowes today to get the bolt and fixed it.

Mr. Snuggs reported that the new automatic chemical system works great and it will reduce chemical costs. The new system has 3 filters and turns water every 5 hours.

A member asked if the lifeguards will start carding people at the gate, and Mr. Snuggs responded that as of July 1, 2009, they will start carding everyone that comes in the pool.

A member asked if there was going to be anything done about parents dropping off their kids at the pool unsupervised. Mr. Snuggs said that the lifeguards will send everyone home that is not supervised by an adult. Mr. Staiano added that everything is going to tighten up. There will be no more “babysitting” at the pool-there has to be an adult with every child under 14. Mr. Staiano is going to check with the health department to find out what the state considers an adult (16 or 18 years old).

A member then asked what the board was going to do about the kids swimming at the boat dock. Mr. Staiano responded that the new security company will help rectify that situation, as they will check it regularly and tell them to get out.

Boat Dock/Campground
Director: John Fulton

Mr. Fulton said that he wanted to address the kids swimming at the boat dock. He said that he was fishing the other day and saw about 5-6 teenagers swimming there and notified the current security and they responded that they didn’t know they weren’t allowed to swim there. If the board puts up signs, kids will just rip them off, so hopefully the new security company will get this squared away.

Mr. Fulton reported that he put up yellow tape on some of the boat slips that don’t have boats. Mr. Fulton added that there is an instance that Slip# 80’s boat is ruining one of the new docks and causing considerable damage. Mr. Fulton is trying his best to watch over the docks and catch things before it causes more damage.

Mr. Fulton also mentioned that there is a member who wants a copy of the current boat dock list as well as a copy of the current boat dock waiting list. Mr. Fulton expressed that he didn’t think we should be giving out this list to members. A member raised his hand and said that he was that person (Lenny Hagesether). He said all he wanted was the list because he was offered slip# 50 and doesn’t want it, so what is good for the goose is good for the gander. Mr. Fulton decided that he could come and look at the list in the office, but not have a copy to bring out of the office.

A member asked if slip# 50 could be fixed to have a 4 points tie up, and another member seemed to think there wasn’t. He just said you have to get creative with how you tie it.

Mr. Snuggs mentioned that there are a lot of road signs and stop signs missing in Woodrun. He asked mr. Yates to look into who makes them so we can see if we can order more. A member added that there is no point because no one stops. Mr. Blue responded that if they don’t stop, they will get a ticket. Mr. Blue added that the reason Woodrun can now write tickets is because the law changed and Woodrun is now a Public Vehicular Area. Mr. Staiano said that the board needs to put in the newsletter to warn the membership about abiding by the law, including wearing a helmet, or they will get a ticket.

A member asked about the state law for 4-wheelers, dirtbikes, and golf carts and underage kids driving them. Mr. Blue responded that if they give him the names, he will talk to them, but it is not against the law.

Clubhouse Report:
Director: Carol Griggs

Mrs. Griggs reported that she received a cleaning bid from Donna Wall who does housekeeping for the Badin Inn. She bid $250.00 to do the top and bottom.

Old Business:

Consolidation of Lots
Mr. Knowles announced that he would like to make a motion to discuss the “change of all future consolidation of lots as of October 1, 2009, where currently there are no additional dues on the adjoining lots to a dues structure of $200 on each adjoining lot.” Mr. Blue 2nd the motion. Mr. Knowles said he didn’t like that single lot owners are subsidizing. The value is higher for multiple lots, but the dues are the same. Consolidation of lots has cost Woodrun over $90,000.00 in lost dues. If it continues this way, there will have to be a raise in dues. He added that there should be a discount on consolidated lots. Regarding lot owners that have already consolidated, they would be grandfathered in under the previous dues structure. Mr. Knowles proposed that this motion have an effective date of October 1, 2009, this way it will give the members time to consolidate under the current dues structure if they want to. He added that there is a stipulation that the lots being consolidated have to be adjoined to the current lots. Present consolidated lots would be grandfathered in. Mr. Knowles felt it would be fair to give a refund or credit to the current years dues for people with multiple lots. The office will go through and give those to all that apply.

Mr. Snuggs asked “all in favor,” and majority ruled yes. The motion was carried.

New Business:

Road Deposits by Contractors
Mr. Snuggs said that he felt it was not a good idea for contractors to put up road deposits and it should be the homeowner. When the road deposit is put up by the contractor and they are done with the job and leave, if there is damage, we won’t be able to collect the rest o the money. If the homeowner puts up the deposit and there is damage, Woodrun can put a lien on the property.

Mr. Blue made the motion to collect road deposits by homeowner only, and Mr. Knowles 2nd the motion. Mr. Snuggs announced that the motion was carried.

Laurie Morehouse – Clubhouse first Sat. of each month for Scrapbooking
Laurie Morehouse was not at the meeting and Mr. Snuggs said that they will address this again when she attends a meeting

Take back of lots – Member Letters
There were 2 letters from members (attached). For the letter from Joe and Margot Dagher, Mr. Snuggs said that we can’t waive her dues. She has to pay it. For Elizabeth Carter, the board will bring it up at the next meeting. Mr. Snuggs told Candice Norman to write them a letter saying that the board will discuss it and get back to them.

Woodrun lots for sale
Mr. Snuggs said that there are 6 or 7 lots for sale. The board is going ot have 1 of the lots percolation tested. The list of the Woodrun lots for sale will go in the next newsletter.

Newspaper Boxes – Current method of who gets what box – Need to reorganize?
Mr. Knowles suggested that Candice Norman get with the current newspaper companies (Charlotte Observer and Stanly News and Press) and find out if they have a lits of who gets the newspaper sand in what boxes, and then the office will put together an organized list of who gets which newspaper in what box.

Membership Information–what information is a matter of public record that we can give out?

Mr. Snuggs said that the office needs to give out the information. Mr. Knowles said that we shouldn’t be giving out phone numbers for that information.

A member asked about a new Woodrun member Directory, and Mr. Knowles responded that this would be a project we will work on after September.

Admin Mileage Reimbursement for Woodrun deposits and errands
Mr. Knowles expressed that Candice Norman was doing bank deposits on her way home, and felt it was unfair for her to do Woodrun errands on personal time. There should be some compensations. Mr. Snuggs mentioned that he goes into town everyday and could do the bank deposits.

Maintenance – Budget for new mower attachment for the tractor
Mr. Staiano mentioned that it is very dangerous for the maintenance crew to be mowing the banks and wondered if it was on the budget for a new attachment for the tractor to mow the banks. Mr. Snuggs said that they budgeted for new equipment and they would need to look into prices for this attachment and what the capabilities are. This issue would be tabled for the next meeting.

Pool Restroom Fans – Repair or replace
Mr. Staiano said that the fans in the pool restrooms are going really slow and need to be fixed or replaced. They are over $100 each to replace, so they would like to try to fix them first. Mr. Snuggs suggested that this issue be tabled for the next meeting after they try to clean and fix them.

Pool Quote
Mr. Snuggs received a quote for a new pool cover. Mr. Knowles said that this would be a good idea because we could leave the water in the pool for the winter and it would hold down the pool to prevent it from rising and it would clean a lot faster when you open it in the spring. Overall, there are less problems if you have a cover versus emptying the pool in the fall. Mr. Snuggs said this issue would be tabled for the next meeting.

Added New Business Issues at Meeting:

Vehicle for Security
Mr. Staiano mentioned that the current security vehicle needs new tires despretly as well as get washed once a week. It is a poor representation of Woodrun the way it is. Mr Snuggs said to mr. Yates that he needed to bring the car to Pro Tire or 5 Points because they will rotate the tires for free. Bring it to whichever one rotates for free.

Mr. Fulton asked if the security officers could use onw of the Woodrun trucks. Mr. Staiano said that used to be the case, but the officers would take it on a joyride and beat it up badly. Mr. Yates said that would be a bad idea because Joe and Tim leave equipment on the truck, and they would have to unload and reload it the next day.

Bi-laws
Mr. Knowles brought up the fact that the bi-laws currently have a dues structure that has not been voted on. There has always been a clause that if you own a lot, you pay the full lot dues, and if you own an additional lot, there would be a $35.00 discount on each additional lot. You pay $345.00 for the first lot, and $310.00 for each additional lot. One day this $35.00 discount just evaporated. There is no record where it was voted on to remove it. Mr. Knowles just wanted the board to be aware because he talked to a previous board member last week and he said that deciding to remove the discount was done in passing, and carried out because he felt like it. That should never have happened.

Mr. Knowles suggests that the $35.00 discount remain in effect and doesn’t feel that there needs to be a motion because it was never voted on. The $35.00 credit will be applied on a person by person basis and Mr. Knowles and Candice Norman will go through and fix this in the receivables.

Open Public Comments:

A member brought up that there needs to be something done about guests using the boat ramp. Mr. Snuggs suggested that there be a fee of $20.00 if they do that and there is no sticker. Mr. Staiano agreed that there should be a fee for this. Mr. Knowles added that the parking lot is extremely clogged with cars and trailers, and it is a mess. There needs to be a way for people to park when they go out and use their boat.

Mr. Staiano said that security will tighten up overall on all amenities of Woodrun, and this will hopfully fix all of these types of issues.

Mr. Yates brought up that there needs to be a lot more speed bumps. He also said that people need to raise their hand and wait to be called on. Don’t blurt out comments.

A member asked if there was a way to put an insert into the newsletter for SHIDP – a state health insurance assistance program. Mr. Knowles asked him to give the office an electronic file and we would put it in there.

A member asked if the game day group could use the pool during adult swim time for an exercise class. The board said yes.

Director:  Bill Staiano
Mr. Staiano started by announcing that Woodrun has hired a new security company that they had introduced at the last meeting. He hopes that there will be a smooth transition. There will be some quirks that need to get ironed out, but they will do a great job to make Woodrun safe and secure. We will see how it goes over time.
Mr. Staiano mentioned that as far as the pool is concerned, there are a few minor incidents with minor leaks, but it is repaired and looks fantastic and very clean. The chemicals are in balance so it is very safe and sanitary. There were a few incidents with footballs being thrown around and there has been a stop to footballs and hardball being in the pool area.

Treasurers / Secretary / Finance:
Director: Gordon Knowles
Mr. Knowles noted that the cash based budget looked really good. We collected just under 85% of our dues. Mr. Knowles and the office will work very diligently as collecting the remaining 15%. We sent out a reminder a little over a week ago to avoid the finance charge. There will be a reminder to send out in 2 ½ weeks to attempt to collect dues, then another letter in August to avoid going in ten collections, and then a final letter to give 10 days to pay, or it will be handed over to collections. Mr. Knowles noted that it isn’t fair to the people who pay their dues on time. As for the rest of the budget, there needs to be a few minor changes, one being administrative salaries, because there is only 1 person in the office now. Everything else looks as though it is in line. Mr. Snuggs added that overall we are under budget.

Security
Director: Pete Blue
Mr. Blue stated that there is a new security company and that many of the members may not like it, but they are trying to do what is best for everyone. He said that for the past couple of days, everyone has had to come through the right side of the gate because this would remind anyone paying dues that haven’t yet to pay them. He added that the new guards are doing a great job. He wants everyone to give them some time, and to give input to the board if they feel something should be changed or added. Mr. Blue reminded everyone that all stickers are to be adhered to the windshield, not placed on 3x5 cards or any other way for it to be passed around.

Chairman / Pool / Social Report:
Director: Wallace Snuggs
Mr. Snuggs announced that the pool is running great, with only a few minor problems. The pool repair company has been very responsive of repairs, and they have been fixed within a couple days. He also noted that the pool attendants are to check everyone for a current pool pass. If you don’t pay your dues, you don’t get a pool pass, and you don’t get to use the pool. There has been a significant decrease in pool usage since we started checking for pool passes.

Clubhouse
Director: Carol Grigg
Ms. Grigg said that the clubhouse is going well, however, the ice machine died. We have attempted to repair it several times, but we will need to make a decision later on in the meeting. Ms. Grigg also mentioned that the board needs to take a look at the rates that we rent the clubhouse at, because we are losing money, which will also be discussed later in the meeting.

Old Business:

Maintenance – Budget for new mower attachment for the tractor
oThis is in the budget for this year to purchase new equipment, but the board has no information or paperwork on models or cost, so the board will make a decision when that happens. Mr. Knowles said he will help get information if Joe can give him companies to purchase it from.
Pool Restroom Fans – Repair or replace
oMr. Snuggs said that they have sprayed and cleaned the fans, and they seem to be doing OK, so as of right now, the board will not be doing anything.
Pool Cover Quote
oMr. Knowles noted that there needs to be more quotes than just one. Mr. Snuggs said that the pool had a cover at one time and it prevented a lot of maintenance to be done in the spring. That cover was ruined, and never replaced. If we don’t get a cover, it causes a lot of debris to build up in the pool and makes for more work for maintenance. If we purchase a cover it will decrease maintenance and we won’t have to drain and refill the pool in the spring.
oMr. Knowles made a motion to get more bids for the pool cover, second: Mr. Staiano.
oMr. Staiano contacted 3 companies to get a quote for pool covers, but hasn’t received them yet.
oThe board approved getting more quotes for the pool cover.
Newspaper deliveries
oCandice Norman explained that the Stanly News & Press subcontracts out newspaper deliveries, and that person purchases a certain number of papers, so if one is stolen, he doesn’t have extras to hand out. They did not offer a solution but said that they would talk to the subcontractor and see what other alternatives we can come up with. The Charlotte Observer has not yet been contacted.
oMr. Snuggs added that we need to figure out who uses which boxes. Candice Norman added that the Stanly News & Press will not give out that information for privacy reasons.
oMr. Knowles said that he will look into this further.
Elizabeth Carter deed back
oMr. Staiano noted that there is a market for unbuildable lots. If it goes to a tax sale, then we can loose and dues that come down the road. Mr. Snuggs said that there were some people that came a couple weeks ago that wanted to but a lot just to use the amenities. Mr. Knowles suggested that a real estate agency can advertise them. Mr. Staiano said that if we market them, we can get rid of them. He would rather see us take it back. Mr. Staiano carried the motion to take back the lot, second: Mr. Blue, approved that Woodrun will take back the lot.

New Business:
Mr. Snuggs added that anyone that would like to look at a lot for sale must have a realtor with them. There was an incident where a couple people came to look at a lot being sold on eBay, and they didn’t contact the seller to come in here. Mr. Staiano noted that you can contact the sellers on eBay to arrange a meeting, and agreed with Mr. Snuggs that a realtor or lot owner must be with them when they come in to look at lots for sale. Mr. Knowles added that it is definitely a security issue where anyone can just roam around Woodrun looking at everything, so there must be a representative of the lot with the potential buyers; be it an attorney, real estate agent, or owner.
Ice Machine
oMs. Grigg started by saying that the ice machine is currently unplugged, so we pretty much have no ice machine at this time as it is unfixable. Mr. Knowles commented that we should check with restaurants that are going out of business to see if we can buy one from them. Mr. Knowles will give Ms. Grigg some names and number sot call. Mr. Staiano added that he has a foodservice representative that he can contact to get leads.
oMr. Knowles said that we need to watch out for getting an ice machine that is too big or too small. It needs to be able to handle certain size events, but not be too much. Mr. Staiano said it needs to go along with what our maximum capacity is.
Woodrun sticker policy – need to clarify and vote
oMr. Snuggs said that for the past 2-3 years it has been Woodrun policy to give 6 stickers to each member family. Candice Norman asked what the policy for a member family that has 2 households. Mr. Staiano said that it should be 6 stickers per household.
oA member said that in the by-laws it states that each member family gets 6 stickers. He also added that the board should look at the by-laws and rules & regulations to clarify voting rights vs. membership. It clearly reads that there is only 1 membership regardless of how many lots you own.
oMr. Knowles then asked what if a person has 1 house and 9 lots, if they pay for the house but not the lots, do they get their stickers? Mr. Snuggs said that we needed to run that by legal, so it will be tabled for the next meeting.
oMr. Knowles said that we needed to make it clear that there is 6 stickers per household, no matter how many lots are owned.
oA member asked how does anyone know what people have pool passes that don’t live here. Everyday people aren’t signing in their name to the pool. Mr. Staiano responded that the guests must be with the member, and if they aren’t and are still getting let in, he needed to know who they are so that he can take action. He also added that the pool attendant must check everyone that comes in. A lot of people don’t live here but own a lot and use the pool. Mr. Blue suggested that the pool sign-in sheet be moved to inside the gate. Another member said that the pool attendants are afraid of confrontation and don’t like to approach people to enforce the rules.
oA member then brought up that members can also pass around, not only pool passes, but the gate cards. Mr. Blue responded that if you want to get into Woodrun, you will find a way no matter what, but people must sign-in to the pool. Mr. Staiano added that we don’t know who has what gate cards, so it is very difficult to enforce. Mr. Blue said that he caught someone coming in with a red sticker from years ago; when he stopped him, he said he doesn’t own a lot in Woodrun, but had it from a friend from years ago. The security has now been tightened up! A member suggested that every 3 years we redo the gate cards so that it gets renewed. Mr. Blue said they did that about 3 years ago-they deactivated everything.
oA member suggested that in order to get stickers, they must show copies of car registrations, and that is how many stickers they should get. Mr. Staiano mentioned that in the future there is a good possibility that Woodrun will get a system where you put a card on your windshield, and a gate over top reads the card and automatically opens the gate. He said they needed to do some research, and this could potentially eliminate a lot of this problem. He is hoping this will happen.
oMr. Snuggs mentioned that some member families have more than 6 cars.
Bear Insurance – Policy up for renewal 8/20/09
oMr. Knowles said that he and Candice will look at the current policy and get quotes from other companies and make their recommendation to the board.
Future discount on multiple lots in the bi-laws?
oMr. Snuggs said that in general, the by-laws are so outdated, he would like to get together with a handful of people in the membership to sit down and go through them and get them up to date. There are still assessments from Russwood in it, and some things were never taken out that were supposed to. Mr. Knowles said that he would like to call for volunteers in the next newsletter, and we can figure out what needs to be changed for next year.
Visitor passes – different color or 1 color
oJW from Security Forces mentioned that it is idea to have a different color for everyday, it is standard procedure. Visitors get 1 pass everyday, regardless of how long they are here for. There could be 1 color for a multi-day pass
oMr. Snuggs suggested that there be a 1month pass for contractors, and JW replied that contractors should have a different pass all together.
oMr. Knowles said that he will get some quotes from Perfect Image and Walter Printing.
Prorate boat docks
oMr. Snuggs thought that there wasn’t a discount until after a certain month. Mr. Staiano added that $300 a month is a bargain compared to everyone else. Motion to discuss no discount by Mr. Staiano and second Mr. Knowles. A member asked if you get a refund if you give up your slip early. Mr. Snuggs said that in the past there has been a prorated refund. Mr. Knowles amended to the motion that there are no refunds, second: Mr. Staiano. Mr Snuggs added that if you pay $300 for the year, and you don’t get a refund if you give it up in October, people will sit on it until April and we won’t be able to get the income from someone who does want it. Mr. Blue made a motion to have no discount/proration on renting a boat slip after the year starts, but you get a prorated refund if you give it back before the year ends, second: Mr. Kane, approved.
Pittbulls
oMr. Snuggs said that there is a member that currently owns 5 pittbulls and that he said he would get rid of 1 dog per day. They are all still there. Mr. Blue said that the only thing you can really do is put pressure on the owner. Mr. Knowles said that he walks everyday and it really needs to be changed to all dogs because pittbulls aren’t the only ones that can charge at you and be mean. A member added that pittbulls are a dangerous animal, and Mr. Blue responded that it has to be deemed dangerous in order for it to be considered that. A member responded by saying that pittbulls are known to kill people.
oMr. Blue said that usually you can put enough pressure on the owner by filing under the civil nuisance law. You have to send them a letter stating that they have so many days to get rid of the dogs or you will file a civil nuisance suit. There must be really good record kept when you file this.
oA member said that animal control told them that Woodrun needs to get a leash law, and Mr. Blue said that we needed to talk to legal about if we can do that or not, because the county currently doesn’t have one.
oMr. Blue said that he would start with drafting the letter for civil nuisance with the Hammonds giving them 10 days to get rid of the dogs. He also mentioned that when you keep dogs on chains, they chains must be a certain length and not over a certain weight.
Clubhouse Rental – Lock/Unlock Procedures, extra fees, cleaning time period, disclaimers for liability for possessions, table arranging, change rates
oWe are currently renting the clubhouse at $350.00 for the upper lever, $75.00 for the lower level, and $400.00 for both levels. There is also an additional $200.00 refundable cleaning deposit. Currently, our cleaning fee is $250.00 + supplies, and it isn’t being covered if we have to clean before and after, plus the cost of electricity and water.
oMr. Snuggs proposed that we raise the cleaning fee and Mr. Knowles suggested that we raise it to $300.00.
oMr. Staiano mentioned that he spoke with a woman that rented the clubhouse and she had suggested that was in issue where she wasn’t allowed to come in the next day to clean, and that is why she gave up her cleaning deposit. Mr. Staiano suggested that clubhouse renters have until 12:00pm the next day to clean the clubhouse. We will have to work on a case by case basis for events that are back to back.
oMr. Knowles asked if the people clean, but don’t do a good job, what happens?
oMr. Snuggs said that we should call Carol, and she can give them the opportunity to clean again before we take back their deposit. When we rent out the clubhouse, they must sign a waiver that it is clean when they get it.
oMr. Staiano also mentioned that there needs to be a disclaimer that Woodrun is not responsible for liability of equipment or other personal belongings that people bring into the clubhouse.
oA member asked if she rented the clubhouse with the $200 cleaning fee, does she now have to pay another $100, and the board replied that she doesn’t.
oMr. Snuggs also said that maintenance is no longer responsible for arranging tables. They will put out the number of tables they need and the renter is responsible for arranging them.
oMs. Grigg made a motion to increase the cleaning deposit to $300, second: Mr. Knowles, approved

oMr. Snuggs said that the list needed to be voted on and approved so that we can distribute. Mr. Snuggs went over the list and a motion was made by Mr. Knowles to approve the list, second: Mr. Blue, approved

oCandice mentioned that people come on the weekends, and no one is in the office to take the money.
oMr. Staiano said that $25 per week is ludicrous and other campgrounds are a lot more. Candice mentioned that 1 person used 1,000 gallons of water at the campground. The $25/week doesn’t cover the cost to run it.
oMr. Snuggs said that there is a simple solution
oMs. Grigg said that maybe we should close it, or come up with something so we can let the membership know by the next newsletter
oA member said that some people have come to the campground for years and aren’t any trouble. Mr. Staiano said that unfortunately, those people are penalized because of others.
oA member suggested that we jack up the key deposit or put in a card reader

Speeding and running stop sign tickets
oMr. Blue spoke to the sheriff and they have decided to have a patrolman come in a couple times a month to run radar and write tickets. There will be a warning or two first, and to keep track of who has received the warnings, and then after that they will get tickets. Mr. Blue said that if anyone sees anyone speeding or doing something wrong to tell him and he will personally go and talk with them.
oJW from Security Forces said that in Pinewild, they run radar and fine people $100.00
Speed Bumps
oMr. Snuggs said that they need more information on speed bumps such as price and locations before they can make a decision. Mr. Knowles said that he is very much against speed bumps. He feels that having the sheriff in here writing tickets will slow people down. This issue was tabled.
New fence purchase and installation for back entrance
oMr. Snuggs said that the board needed more information on types and prices before they could make a decision.
oMr. Blue said that there needs to be something placed on the exit area of the guardhouse so cars don’t just go around the arm to get in.
oMr. Snuggs said he would donate boulders.
Long distance at guardhouse
oCandice Norman said that Embarq will charge an additional $25.00 for unlimited long distance for the guards. Mr. Knowles said that JW needs to give a list of phone numbers that the guards need to call and keep it monitored.

Dan Oakley
oMr. Oakley brought in a 2 handouts and read them (can be seen at the office attached to the minutes). He didn’t want anything to be done; he just wanted to share his thoughts with the board to think about for the future.
John Fulton
oMr. Fulton said that the rules and regulations state that there is no night storage in the parking lots, but Lewis Tree Trimming has all of their vehicles parked in the boat launch area. He felt they should park in the campground. Mr. Snuggs said that Progress Energy owns the lot and there is nothing we can do. We can ask them to move it but they don’t have to.
Susan Inman
oMs. Inman brought up the issue of there not being a public place for people to go swimming in the lake. She felt that there should be one made on the side of the boat dock area. Mr. Blue said that in order to do that you have to have permission, and it takes years to get it done. Mr. Snuggs said that Progress Energy will more than likely not let that happen. Mr. Oakley said that the board should open the pool for the annual meeting, and on the weekends and after school in May. Just put up a sign that there is no attendant. Ms. Inman said that they should open it earlier because there are a lot more kids and families now that would take advantage of that. Mr. Staiano said that it really isn’t in the budget to hire people for that time to check the pool everyday.
oMs. Inman also wanted to know what age kids have to be to swim by themselves. Mr. Staiano said 12, and Ms. Inman said that the state age is 10. Mr. Staiano said that the rules & regulations say 12, so that is was Woodrun goes by.
oMs. Inman also brought up that people are coming into the pool that don’t live here, and the pool attendants are letting them in and it happens everyday. Mr. Blue said that every member owns the pool, so if you see anything, you have every right to say something. Make the attendant aware, and if they don’t do their job, tell Mr. Snuggs or Mr. Staiano.
oA member said that the rules say a member family can have up to 6 guests with 1 pass and the guests have to be accompanied by the member.
oMr. Staiano said that they are not trying police the pool, but we all need to pull together and get it back under control.
Anessa Gillis
oMs. Gilles said that unattended 8 year olds at the pool doesn’t need to happen. The pool should have the rules posted so that everyone can see.
oMr. Staiano said that Woodrun doesn’t want to take the risk of letting a 10 year old swim unattended. It is a liability.
Mr. Oakley suggested that the board should keep the lines of communication open with the membership through the bulletin board, website, and email. Mr. Knowles said that the board made administrative changes so that this stuff can get done.
A member suggested an email list to email the minutes to keep everyone informed. Also, to publish the minutes in the newsletter. Mr. Knowles responded by saying that it makes the cost go up for printing to do that. They try to keep the newsletter to no more than 4 pages.

Road Deposits
Director: Gordon Knowles
Gordon Knowles reported that there are currently 24 people that currently have road deposits submitted from as early as 2003. Wallace Snuggs added that some members want to keep their road deposit submitted so that they never have to worry about it when they have work done.
Motion to Approve Minutes:

August 6, 2009
A motion was made to approve minutes by Gordon Knowles and was seconded by Pete Blue. The motion was carried unanimously.

Vice-Chairman / Security / Pool / Social
Director:  Bill Staiano
Bill Staiano reported that the pool cover was ordered, and will be here in about 2 weeks, which will then be installed 1 week later. He will call Aquatic Construction to find out about winterization instructions for the pool to save money down the road.
Bill Staiano also reported that Woodrun has received money from the insurance company for the broken gate at the guardhouse, and will discuss purchase options in new business, possibly an easy pass system.
Woodrun will be having is annual Labor Day Hot Dog Picnic from 11:00AM-1:00PM at the clubhouse.

Treasurer / Secretary / Office / Roads / Building
Director: Gordon Knowles
Gordon Knowles reported that Woodrun’s available cash in all accounts is just under $486,000.00, the bulk of which is in the operating account. $152,000.00 was put into a CD about 1 month ago.
Gordon Knowles went on to read the Collections report and noted that the office has sent out letters to all outstanding members. Because the current way isn’t working for us, we are now looking at alternate ways to collect past dues. Wallace Snuggs noted that about $117,000.00 in uncollected past dues goes back to day 1 of Woodrun.
Budget wise, as of today, we have collected about 93% of this year’s budgeted dues. The campground income is 33% down, and we are about 88% of out total income budget. 

Security
Director: Pete Blue
Pete Blue reported that we still have people who don’t have stickers on their vehicle, or stickers that are over 2 years old. He made a suggestion to close the right lane one day a week to see who they are. He added that another issue is that contractors are still not calling the gate for their crews and sub-contractors. Gordon Knowles suggested that whoever isn’t calling should be turned away. Bill Staiano added that there were 2 incidents, 1 on Millwheel, and 1 on Fairfield, where there were track vehicles and no road deposits. There has been a loss of communication, and we are not getting that rectified. Bill Staiano also added that contractors with big equipment come in with a service pass, but has informed the gate that they still need to be stopped and asked what owner and lot# they are here for. If it requires a road deposit, then they can’t come in with or without a service pass. There are NO EXCEPTIONS, no matter who it is. There is 1 set of rules for everyone to follow. Kristy and JW from Security Forces have been told. Gordon Knowles mentioned that if they can’t get a handle on their employee, then we may need to drop the contract.
Pete Blue made a motion to close the right side of the gate (gate card lane) one day a week (will pick a random day) for a period of 1 month, effective immediately.
Gordon Knowles said that this is not an issue that we need to warn the membership about. This is something that ensures we are secure and should be effective immediately. A member suggested on the weekends because that is when we are most busy. Pete Blue said that it will be a random day, and this way we can confiscate cards from people who don’t have stickers.
The motion was seconded by Gordon Knowles. The motion was carried unanimously.

Maintenance / Boat Docks
Director: Ed Kane
Ed Kane reported that the Boat Docks have repairs that are ongoing. He suggested that anyone with a boat slip that they are not using, to please call him so that there can be a chain put across it to prevent future damage to the boards from people parking in the slip. If not, the damage will be at the lease owner’s expense.
Maintenance is beginning to get ready to close down the pool and campground by the 15th. Ed Kane thanked the Zakkos’s for their efforts to track down the milk jug litter bandit. Ed feels that the littering has definitely let up.
Wallace Snuggs added that he wanted to make sure that we are taking pictures of each slip that is given up before we rent it out to make sure the new owner can’t blame it on the old owner.

Campground / Beautification:
Director:
Wallace Snuggs reported that we will resolve the issue of a new director tonight in a separate meeting.

Chairman / Pool / Social Report:
Director: Wallace Snuggs
Wallace Snuggs reported that he felt we should close the pool at the end of the day on Labor Day. He also mentioned that there was a rumor going around at the school that a child got sick because of the pool. The health department checked to see if that type of sickness could be caused by the pool, and it can’t. The Health Department came out anyway, and didn’t find any problems with the pool. Wallace mentioned that he and Bill Staiano need to get together a list of things to do in order to close the pool, for example, checking to see if it is OK to turn the skimmers off, water temperatures, chemicals, etc. Bill Staiano added that they needed to decide when they were going to put the pool cover on so they could make sure the maintenance guys know how to put it on, take it off, and store it properly. The pool cover company also gave us a pump to pump off any water that accumulates on the cover from rain.
Wallace Snuggs asked the members what their thoughts were on closing the pool on Labor Day. Due to member comments, the pool will be closed September 15, 2009.

Clubhouse
Director: Carol Grigg
Carol Grigg made a motion to build a new bookcase at the lower level of the clubhouse. The materials would cost $155.44 plus the labor for the maintenance guys to build it. The motion was seconded by Pete Blue. The motion was carried unanimously. Wallace Snuggs said that he may have enough leftover material from his jobsite to do it, so it won’t cost Woodrun anything except labor.

Old Business:

Storage Lot
oEd Kane reported that we are in the process of cleaning it up and then getting it into an organized fashion.
Boat Dock Usage Charge – Watercraft
oWallace Snuggs reported that he was made aware by a member that in last month’s decision to charge $25.00 to all vehicles pulling a boat without a current Woodrun sticker, we did not include jet skis and other watercraft. Gordon Knowles made a motion to change the $25.00 fee for boats to be changed to $25.00 for all vehicles without a current Woodrun sticker pulling any watercraft. The motion was seconded by Bill Staiano. The motion was carried unanimously.
Alltel cell phone plan vs. walkie talkies
oCandice Norman gave an overview of the 2 options. The walkie talkies would require a $4,000.00+ investment because of the necessity of a repeater and antennae, so it seems it would be out of the question for this year. She gave 3 options for a cell phone plan, and advised that the best for our money would be the 900 National Freedom Plan for $70/month plus $15.00/month for insurance plus $10.00/month for each additional line. Pete Blue added that the walkie talkies are very expensive if you get ones that will work for Woodrun. Wallace Snuggs mentioned that if we go the cell phone route that everyone except Joe needs to leave their phone at the office before they go home. Joe is on call for Woodrun, Tim and Bob are not. A member asked why they needed them, and Ed noted that a lot of times they are out on one end of Woodrun, and one of the mowers breaks down or runs out of gas and they have no way of getting a hold of anyone. This would also apply if someone got hurt.
oGordon Knowles made a motion to order the Alltel 900 National Freedom Plan for $70.00/month plus insurance and 2 additional lines for 3 phones total. The motion was seconded by Pete Blue. The motion was carried unanimously.
Time Warner Cable
oGordon Knowles reported that Time Warner cable contacted Woodrun last month about setting up their cable service in Woodrun. They had a representative come to speak with him today to gather some preliminary information to see if it is even possible. Gordon added that they will be given an opportunity to give a proposal, which we will then pass on to the members through a survey or newsletter. Gordon also said that they had practically begged Time Warner Cable to add service to Woodrun before and they turned us down.
oA member asked what they will offer, and Gordon Knowles responded with Cable, Phone, and Internet – all the services they offer everyone else.

New Business:

Security Gate
oBill Staiano reported that he was given several quotes with several options to choose from. Diamond Electronics was really high, so they were out of the question. SFI was eliminated because the cameras were good, but the gate part wasn’t what we wanted. This left Carolina Time. Their 3 options were: a windshield bar code reader, ID Cards (similar to what we have now), and a license plate tag. Bill Staiano recommended to the board that they go with the bar code reader. It is a sticker that fits on the top of a windshield and reads from about 6 feet back and opens the gate automatically. It works similar to an EZ Pass on a highway. He added that he didn’t like the ID cards because they can be passed around, and wanted that eliminated. With the bar code stickers, once they are removed, you can’t reuse them. By using this method, it will give the guards more of an opportunity on the 11:00PM-7:00AM shift to patrol. The only stipulation is that we need to get a computer, which we can use the extra one from the office. This system will have a way to keep track of who has what card numbers so that we can deactivate them if their dues aren’t paid. A member asked Bill Staiano to explain more how it works. Bill explained that it is similar to an EZ Pass system on a highway. You have a bar code sticker and once you approach the reader, it automatically opens the gate. The approximate cost of the system is $13,700.00. Bill Staiano added that he needs to check to see if the existing conduit and wiring can be used to reduce the cost.
oAnother issue to this system will be when and how to implement it. How many stickers to people get, and what kind of rules to we apply to that. We will have to require members to give their make and model of their vehicle. He predicted that everything would be in place by next spring. Only residents should have them, and we will have to work out the details later.
oGordon Knowles suggested that each family get 2 stickers, and have to pay for the rest, and this would eliminate stickers all together. This would incur another $6,000.00 expense for Woodrun at a cost of $3.00 for each sticker.
oPete Blue added that we received a good bit of money from the insurance company to help with the cost, and it seems like it would be the perfect time.
oWallace Snuggs added that we are looking at about $8,000.00 more than what we received and would have to get that money from somewhere. A member suggested we eliminate some guard shifts and security is why we are all here. If this makes us more secure, then why not?
oA member added that the members should have to pay for all of their bar codes, not Woodrun. Gordon Knowles responded that some yahoo came in and destroyed our gate, so now we are making the members pay for it? It doesn’t seem right. He feels that he needs to think about all 1200 members, not just the ones that show up to the meetings.
oA member felt that it is time to upgrade, and Bill Staiano added that this is a one time deal, it shouldn’t need to be replaced, but things do wear out over time.
oThe board decided to take a break from this subject and come back to it later.
William Odell Cheek Deed back – Lot 392
oBill Staiano made a motion to take back the lot at the cost of the member. The motion was seconded by Gordon Knowles. The motion was carried unanimously.
Tennis Courts
oGordon Knowles reported that the tennis courts are in really bad shape with cracks. Last time it was done, all they did was fill in the cracks, and it didn’t really solve the problem. Pete Blue added that he was on the board when they did the refilling of the cracks and the reason they didn’t redo the courts is because it was going to be $59,000.00. In order to redo them, they pretty much need to rip them up and put down new ones. Gordon Knowles said that we need to look into prices so that we can budget for this in the future. It is an amenity that members pay for and it needs to be corrected. Gordon Knowles will look into getting bids for future reference. Pete Blue added that he would give him the name of a reputable company that does all the ACC team tennis courts.
Revised Recycling Laws – October 1
oWallace Snuggs said that Woodrun will need to call Allied Waste to find out what we can do with them to comply with the no plastic bottles law, effective October 1, 2009.
Disposal of Woodrun Property and Equipment
oWallace Snuggs reported that we hired a new accountant and went through the depreciation schedule. A lot of Woodrun equipment that was purchased has been sold, but we have no record of to whom, when, or for how much. Wallace proposed that any equipment we dispose of (sell, trade, etc.), needs to be approved by the board, and given to the accountant for updating the depreciation schedule. Gordon Knowles added that it is just a good policy to have, and there is no motion needed.
Bingo Equipment for Carolina Forest
oBill Staiano reported that Carolina Forest requested to borrow our bingo equipment in October. Bill informed them that he needed a formal letter requesting that including a specific date that they want it. A member mentioned that they may want to have a bingo night, so we should try and see if we could get that started. Bill Staiano also mentioned the need to put together a social committee, and would need volunteers. The office will make a sign to contact Carol Fox for the committee. Gordon Knowles felt we needed to be a good neighbor and made a motion that once we get a specific date of pick-up and drop-off, we loan the bingo equipment to Carolina Forest at no charge. The motion was seconded by Pete Blue. The motion was carried unanimously.

A member inquired about the pit-bull problem. Pete Blue responded that they were supposed to be gone over the next weekend. He would continue to follow up on this.
A member asked about the group home coming back. Pete Blue responded that the state cut their finding. Wallace Snuggs said that they have seen a car, but no people.
A member asked why Woodrun hasn’t put on a community yard sale. Gordon Knowles said that no one has put it together, and it would have to be done at the entrance.
A member asked if Woodrun was going to be putting up more speed limit signs. Ed Kane thinks that there aren’t any more to put up, but will look into it. Wallace Snuggs said that they would need to check into getting the cost for more. Pete Blue said that he may be able to get them slightly cheaper.
Bill Staiano brought up the gate issue. Gordon Knowles felt it was a great idea, but doesn’t know how they can fund it. He felt we can’t ask the members pay for the first set of passes this year. Maybe we can budget for this next year. Bill Staiano mentioned that we may be able to put the exit gate to the entrance gate, and then put in the tiger teeth or a speed bump at the exit. A member added that tiger teeth are used all over at airports and car rentals, and they don’t have issues. Wallace Snuggs added that the one that Woodrun owns are not heavy built, and the teeth are operated independently, so just one can get stuck or malfunction. If one tire bursts, Woodrun will have to pay for a whole set of four new ones. A member suggested an asphalt speed bump.
Gordon Knowles had a suggestion for funding. If Woodrun goes ahead and pays for the cameras and the gate and borrow the money from ourselves and pay it back at a 6% interest rate to make it sting. Our priority is security, and this way we could make it work. We could pay it back over a period of 3-5 years.
A member added that if Woodrun does the tiger teeth, the fire department would have a hard time getting in if the entrance was blocked. Bill Staiano spoke with the operation manager at the Charlotte Airport, and they said that they only had a couple miniscule incidents when people follow too close to another car. A member suggested that Woodrun sell the tiger teeth. Bill Staiano recommended that any money we get from selling our deed back lots goes to pay for the new bar code reader. Carol Grigg made a motion to take $34,000.00 from Woodrun to pay for the security cameras and gate and pay it back over 3 years at a rate of 6%. The motion was seconded by Pete Blue. The motion was carried unanimously. Gordon Knowles added that we will need to figure out the term of sticker distribution at a future meeting.
